PROPOSED SERVICE TERMS — OWNER REVIEW

Clever Doodle Design, LLC is a North Carolina, USA business. These proposed terms cover strategy, branding, websites, SEO, content, and experiential services. They are prepared for owner review and are not an accepted client agreement. A signed proposal identifies the specific scope and takes precedence over these general terms where they differ.

Scope, collaboration, and changes

Written scope. Each engagement starts with a proposal defining deliverables, fees, schedule, client responsibilities, and approval milestones. Website descriptions and starting prices are general information, not a final quote.

Payment. Proposed default: 50% deposit to reserve a project and begin work; 50% before release of final files or website launch. For projects over eight weeks, the proposal may use 50% / 25% / 25% milestones. Invoices are due within 14 days. Approved expenses, taxes, licenses, hosting, and third-party subscriptions are additional unless expressly included.

Revisions. Proposed default: two consolidated revision rounds per agreed deliverable. A round is one coordinated set of feedback within the approved direction. New concepts, scope changes, and additional rounds require written approval of added fees and timing before work proceeds.

Collaboration. Clients supply accurate information, authorized materials, access, and consolidated feedback within five business days unless agreed otherwise. Delays may move the schedule. After 30 days without required feedback or access, work may be paused and rescheduled according to availability. Approval is required before launch; silence does not authorize publication.

Ongoing services. Monthly services are billed in advance under the signed scope. Proposed default: 30 days’ written notice to end a monthly engagement, with no unagreed minimum commitment. Hosting, maintenance, and support are included only when expressly scoped.

Cancellation, ownership, and service limits

Cancellation and refunds. Proposed default: either party may end a project in writing. The client pays for work completed and approved, nonrecoverable third-party commitments. Deposits are credited toward those amounts; any unearned balance is refunded within 14 business days after reconciliation. Completed work and delivered services are not refundable solely because a client changes direction. If Clever Doodle cannot complete the work, unearned fees are returned. Event cancellation and rescheduling rules must be agreed separately before booking.

Ownership. After full payment, the client receives ownership of the final, approved custom deliverables identified in the proposal. Unused concepts, working files, pre-existing tools, methods, and reusable components remain Clever Doodle’s unless expressly included. Third-party materials retain their license terms. Clients retain their supplied content and warrant permission to use it. Source files and third-party license costs must be specified in the proposal.

Confidentiality and portfolio use. Each party protects nonpublic information received for the engagement. Clever Doodle may display public final work after launch unless a written confidentiality or embargo agreement says otherwise. Private business data and credentials are excluded from portfolio use.

Service limits. SEO, AI search visibility, rankings, citations, engagement, leads, sales, and growth cannot be guaranteed. Deliverables are based on the agreed scope and information available at the time. Legal compliance, trademark clearance, and formal accessibility certification require separately scoped specialist review.

Resolution. Raise concerns promptly at cortni@cleverdoodledesign.com so both parties can first seek a practical resolution. Proposed governing law: North Carolina, subject to mandatory applicable law. Before use, review warranty, liability, dispute venue, and service-specific clauses with counsel and approve the proposed commercial defaults.
